These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Starboard Realty Advisors (“Starboard,” “we,” “our,” or “us”).
These Terms govern your access to and use of our website and any associated platforms, portals, applications, tools, materials, or services we provide, whether online or offline (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Services.
1. Eligibility and Accounts
The Services are intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms.
Certain portions of the Services may be limited to accredited investors or other qualified persons. You represent and warrant that any information you provide regarding your status or eligibility is accurate and complete.
If account registration is made available, you agree to provide true, accurate, current, and complete information and to keep such information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
You must notify Starboard immediately of any unauthorized use of your account. Starboard shall not be liable for any loss or damage resulting from your failure to safeguard your credentials.
2. Changes to Terms
Starboard reserves the right, at its sole discretion, to modify or revise these Terms at any time.
Any changes will become effective immediately upon posting the revised Terms to the Services, with the updated effective date reflected at the top of this page.
Your continued use of the Services following the posting of changes constitutes your acceptance of the revised Terms. You are responsible for reviewing the Terms periodically.
3. Use of Services
Subject to these Terms, Starboard grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful purposes and in accordance with these Terms.
You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services, or interfere with any other user’s access or use.
All rights not expressly granted herein are reserved by Starboard.
4. Acceptable Use
You agree to use the Services only in compliance with all applicable laws, rules, and regulations.
Without limitation, you shall not:
- use the Services to violate or infringe the rights of any third party, including intellectual property, privacy, or contractual rights;
- introduce viruses, malware, or other harmful or disruptive code;
- attempt to gain unauthorized access to any portion of the Services or related systems;
- engage in scraping, data mining, harvesting, indexing, or automated access without Starboard’s prior written consent;
- misrepresent your identity, qualifications, or affiliation with any person or entity.
Starboard may suspend or terminate your access to the Services at its sole discretion for any violation of this Section or these Terms.
5. User Content
Any information, data, documents, text, or materials you submit or make available through the Services (“User Content”) remain your property.
By submitting User Content, you grant Starboard a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, transmit, and otherwise use such User Content solely for the purpose of operating, administering, maintaining, and improving the Services and evaluating potential advisory or investment relationships.
You represent and warrant that you own or control all rights necessary to grant this license and that your User Content does not violate any law or third-party rights.
You are solely responsible for the accuracy, completeness, legality, and appropriateness of your User Content.
6. Intellectual Property
All right, title, and interest in and to the Services, including all software, designs, text, graphics, documents, logos, trademarks, service marks, and other content, are and shall remain the exclusive property of Starboard or its licensors.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, transmit, display, reproduce, publish, create derivative works from, or use any portion of the Services for any commercial purpose without Starboard’s prior written consent.
Unauthorized use constitutes a material breach of these Terms and may violate applicable laws.
7. Third-Party Services
The Services may include links to or integrations with third-party websites, platforms, or tools not owned or controlled by Starboard.
Starboard does not endorse and is not responsible for the content, policies, or practices of any third-party services. Your use of such services is at your own risk and may be governed by separate terms and policies.
8. No Professional Advice
The Services and any materials, communications, or information provided by Starboard are for informational purposes only.
They do not constitute legal, tax, accounting, investment, or other professional advice and should not be relied upon as such.
Starboard does not act as your fiduciary, advisor, or agent by virtue of providing the Services. You are solely responsible for consulting qualified professionals before making any financial, legal, or investment decisions.
9. Feedback
Any ideas, suggestions, or feedback you submit to Starboard (“Feedback”) are provided on a non-confidential basis. Starboard may use, disclose, and exploit such Feedback without restriction or obligation to compensate you.
10. Service Availability and Changes
Starboard may modify, suspend, or discontinue the Services, in whole or in part, at any time, with or without notice.
Starboard shall not be liable for any modification, suspension, or discontinuation of the Services.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARBOARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
STARBOARD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STARBOARD OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
IN NO EVENT SHALL STARBOARD’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF:
- ONE HUNDRED UNITED STATES DOLLARS (USD $100), OR
- THE AMOUNT PAID BY YOU TO STARBOARD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Starboard and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of any law or third-party rights.
14. Termination
Starboard may suspend or terminate your access to the Services at any time, with or without cause or notice, and without liability.
Upon termination, all rights granted to you under these Terms shall immediately cease. Provisions which by their nature should survive termination shall survive.
15. Privacy
Your use of the Services is subject to Starboard’s Privacy Policy, which is incorporated herein by reference.
16. Miscellaneous
These Terms and the Privacy Policy constitute the entire agreement between you and Starboard regarding the Services.
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign these Terms without Starboard’s prior written consent. Starboard may assign these Terms without restriction.
